End User License Agreement for Big Robot QBO CLI

This End User License Agreement governs access to and use of the Big Robot QBO CLI, a private internal command-line application that connects to QuickBooks Online through Intuit's QuickBooks Online Accounting API.
By authorizing or using the application, you agree to this agreement. If you do not agree, do not authorize or use the application.
1. Parties
This agreement is between Big Robot LLC, referred to as "Big Robot," "we," "us," or "our," and the authorized person or business user who accesses or uses the application, referred to as "you" or "user."
2. Application Purpose
The Big Robot QBO CLI is a private internal tool used to connect Big Robot's systems and authorized workflows to QuickBooks Online.
The application may be used to:
- Read QuickBooks Online company information, customers, items, invoices, payments, estimates, vendors, bills, accounts, terms, classes, departments, tax codes, preferences, and reports.
- Validate invoice input before writing to QuickBooks Online.
- Create saved invoices only after explicit confirmation.
- Send existing invoices only after explicit confirmation.
- Export QuickBooks Online data to local files selected by the user.
The application is not a public consumer product, marketplace application, accounting firm portal, or payment-processing service.
3. Authorized Use
You may use the application only if you are authorized by Big Robot and have authority to connect the relevant QuickBooks Online company.
You must not:
- Use the application for any company you are not authorized to access.
- Share OAuth tokens, client secrets, exported accounting data, or local configuration files.
- Resell, sublicense, publish, or make the application available to unauthorized users.
- Use the application to violate Intuit's terms, QuickBooks Online terms, law, or third-party rights.
- Attempt to bypass confirmation gates for invoice creation or invoice sending.
4. QuickBooks Online Authorization
The application accesses QuickBooks Online only after an authorized user completes Intuit's OAuth authorization flow.
You are responsible for confirming that:
- You selected the correct QuickBooks Online company.
- You are permitted to authorize access for that company.
- Any invoice create or invoice send action is intentional and reviewed.
You can revoke access by disconnecting the application in QuickBooks Online or by deleting local credentials through the application.
5. Data Access And Storage
The application may access accounting and business data from QuickBooks Online, including company profile data, customer and vendor records, items, accounts, transactions, reports, invoice data, and related metadata.
The application is designed to store OAuth client secrets and tokens in the local operating-system keychain. Non-secret local configuration, such as environment, redirect URI, and QuickBooks company realm ID, may be stored in local configuration files.
Exported files may contain sensitive accounting data. You are responsible for protecting exported files, local configuration, terminal output, and any downstream copies.

6. Accounting Review
The application is a workflow and integration tool. It is not a substitute for professional accounting review.
You are responsible for reviewing all accounting data, invoices, reports, exports, and write actions before relying on them. QuickBooks Online remains the source of truth for records stored in QuickBooks Online.
7. Third-Party Services
The application connects to services provided by Intuit and QuickBooks Online. Your use of those services is governed by Intuit's applicable terms and policies.
Big Robot is not affiliated with, endorsed by, or sponsored by Intuit.
8. License
Subject to this agreement, Big Robot grants authorized users a limited, revocable, non-exclusive, non-transferable license to use the application for Big Robot's internal business purposes.
Big Robot retains all rights in the application except for the limited rights expressly granted in this agreement.
9. Security Responsibilities
You must take reasonable steps to protect access to the application and any QuickBooks Online data it handles.
You must not commit, publish, upload, or disclose:
- OAuth client secrets.
- Access tokens or refresh tokens.
- Local
.envfiles. - Local
.qboconfiguration files. - Exported accounting reports or invoice payloads, except as authorized by Big Robot.
You must promptly report suspected unauthorized access, exposed credentials, or accidental disclosure of QuickBooks Online data.
10. No Warranty
The application is provided "as is" and "as available." Big Robot disclaims all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and error-free operation.
11. Limitation Of Liability
To the fullest extent permitted by law, Big Robot will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, accounting errors, tax consequences, or unauthorized actions resulting from use of the application.
12. Suspension And Termination
Big Robot may suspend or terminate access to the application at any time.
You may stop using the application at any time. You should also revoke QuickBooks Online authorization and delete local tokens if access is no longer needed.
Sections that by their nature should survive termination will survive, including data protection responsibilities, warranty disclaimers, limitations of liability, and ownership terms.
13. Changes
Big Robot may update this agreement from time to time. Continued use of the application after an update means you accept the updated agreement.
14. Governing Law
This agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules.
